This committee is authorized to conduct investigations and impose penalties. Within the PSPC, there are two subcommittees.&nbsp; First, the Disciplinary Review Committee (DRC) is charged with reviewing potential violations and enforcing the Code of Ethics. Second, the Standards of Practice Council (SPC) is charged with editing, deleting, or adding standards and distributing updated information to CFA members.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Causes for an investigation<\/h2>\n\n\n\n<p>CFA Institute members may be investigated based on:<\/p>\n\n\n\n<p>1. Violation of the CFA Institute Articles of Incorporation, Bylaws, Code of Ethics, Standards of Professional Conduct, or Rules of Procedure or other applicable rules<\/p>\n\n\n\n<p>2. Sanction or injunction imposed by a government or judicial agency, or public or private self-regulatory organization with jurisdiction over investment-related activities<\/p>\n\n\n\n<p>3. Conviction of a felony, or (if the jurisdiction does not define a felony) any crime punishable by more than one year in prison<\/p>\n\n\n\n<p>4. Ban or restriction (permanently or indefinitely) from registration under a jurisdiction&#8217;s securities laws or any restriction related to any investment-related professional activity<\/p>\n\n\n\n<p>5. Failure to complete, sign and return the Professional Conduct Statement<\/p>\n\n\n\n<p>6. Falsifying information on a candidate or society membership application<\/p>\n\n\n\n<p>7. Failure to cooperate with the CFA Institute&#8217;s inquiry and investigation into one&#8217;s own conduct or the conduct of another member<\/p>\n\n\n\n<p>8. Candidates can also be penalized by revoking the right to sit for CFA examinations, thereby becoming ineligible for membership.<\/p>\n<h2>Code of Ethics<\/h2>\n<p>The CFA Institute has outlined six components to its <strong><em>Code of Ethics<\/em><\/strong>. Members of the CFA Institute must:<\/p>\n<p>1. Act with integrity, competence, diligence, respect, and in an ethical manner with the public, clients, prospective clients, employers, employees, colleagues in the investment profession, and other participants in the global capital markets.<\/p>\n<p>2. Place the integrity of the investment profession and clients&#8217; interests above their own personal interests.<\/p>\n<p>3. Use reasonable care and exercise independent professional judgment when conducting investment analysis, making investment recommendations, taking investment actions, and engaging in other professional activities.<\/p>\n<p>4. Practice and encourage others to practice professionally and ethically to reflect credit on themselves and the profession.<\/p>\n<p>5. Promote the integrity of, and uphold the rules governing, capital markets.<\/p>\n<p>6. Maintain and improve their professional competence and strive to maintain and improve the competence of other investment professionals.<\/p>\n<h2>Standards of Conduct<\/h2>\n<p>With regard to <strong><em>Standards of Conduct<\/em><\/strong>, there are seven areas by which one must be held accountable.\u00a0 They are as follows:<\/p>\n<p>1. Professionalism<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-1a-knowledge-law\/\">Knowledge of the law<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-1b-independence-objectivity\/\">Independence and objectivity<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-1c-misrepresentation\/\">Misrepresentation<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-1d-misconduct\/\">Misconduct<\/a><\/li>\n<\/ul>\n<p>2.\u00a0Integrity of Capital Markets<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-2a-material-non-public-information\/\">Material non-public information<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-2b-market-manipulation\/\">Market manipulation<\/a><\/li>\n<\/ul>\n<p>3.\u00a0Duties to Clients and Prospective Clients<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-3a-loyalty-prudence-care\/\">Loyalty and prudence<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-3b-fair-dealing\/\">Fair dealing<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-3c-suitability\/\">Suitability<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-3d-performance-presentation\/\">Performance presentation<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-3e-preservation-confidentiality\/\">Preservation of confidentiality<\/a><\/li>\n<\/ul>\n<p>4.\u00a0Duties to Employers<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-4a-loyalty\/\">Loyalty<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-4b-additional-compensation-arrangements\/\">Additional compensation arrangements<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-4c-responsibilities-supervisors\/\">Responsibilities of supervisors<\/a><\/li>\n<\/ul>\n<p>5.\u00a0Investment Analysis, Recommendations, and Action<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-5a-diligence-reasonable-basis\/\">Diligence and Reasonable Basis<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-5b-communication-clients-prospective-clients\/\">Communication with clients and prospective clients<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-5c-record-retention\/\">Records retention<\/a><\/li>\n<\/ul>\n<p>6.\u00a0Conflicts of Interest<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-6a-disclosure-conflicts\/\">Disclosure of conflicts<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-6b-priority-transactions\/\">Priority of transactions<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-6c-referral-fees\/\">Referral fees<\/a><\/li>\n<\/ul>\n<p>7.\u00a0Responsibilities as a CFA Institute Member or CFA Candidate<\/p>\n<ul class=\"ul1\">\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/responsibilities-cfa-institute-member-cfa-candidate\/\">Conduct as participants in CFA Institute programs<\/a><\/li>\n<li><a href=\"https:\/\/analystprep.com\/cfa-level-1-exam\/ethical-and-professional-standards\/standard-7b-reference-cfa-institute-cfa-designation-cfa-program\/\">Reference to CFA Institute, CFA designation, and CFA program<\/a><\/li>\n<\/ul>\n<h2>Ethical Responsibilities Required by the Code and Standards<\/h2>\n<h3>I. Professionalism<\/h3>\n<p>Standard I is broad in scope and directed toward competence within a small business environment. This standard makes it clear high ethical standards must apply even when an issue hasn\u2019t been identified in writing. In addition, it specifies that investment professionals must have a working knowledge of laws and a framework for resolving ethical dilemmas.<\/p>\n<h3>II. Integrity of Capital Markets<\/h3>\n<p>Standard II discusses sharing of material information qualified as non-public and the intent to manipulate markets. It prohibits CFA members from acting in a way to distort market value through manipulation.<\/p>\n<h3>III. Duties to Clients and Prospective Clients<\/h3>\n<p>Standard III addresses client loyalty, discretion, and care; fair dealing; suitability; performance presentation; and maintaining confidentiality. Investment professionals are obligated to put the interests of their clients before that of their organization or their personal interests.<\/p>\n<h3>IV. Duties to Employers<\/h3>\n<p>Standard IV outlines basic responsibilities by investment professionals for their employers. Language includes the premise of \u201cdo no harm\u201d toward an employer, bearing that there can occasionally be a conflict of loyalty between personal and agency interests.\u00a0 There are also specific instances outlined in which an investment professional may be considered in violation of duties to employers, including unfair competition and sharing of confidential information. Whistleblowing, or reporting unethical employers, is also addressed in this section.<\/p>\n<h3>V. Investment Analysis, Recommendations, and Action<\/h3>\n<p>Standard V outlines the responsibility of investment professionals regarding due diligence before making recommendations to clients.\u00a0 The intent is to prevent conjecture in the form of a \u201chot tip\u201d but rather provides that recommendations be made based on a firm\u2019s independent research or the quantitative research of other reputable sources.<\/p>\n<h3>VI. Conflicts of Interest<\/h3>\n<p>There are bound to be conflicts of interest and loyalty within any business organization, leading to an ethical dilemma.\u00a0 Standard VI specifies that CFA members and candidates must disclose any potential conflicts between clients and employers, individual interests, and the like.\u00a0 The purpose of this is to protect employers from an unknown clash of concerns that may promote unethical decisions.<\/p>\n<h3>VII.
